Registering a Business in Ukraine in 2026: A Step-by-Step Guide, Documents, and Costs

Step 2. Documents Required for Registration

To register an LLC, you will need a minimal but properly prepared set of documents:

1) Application for state registration.

2) Resolution of the founder (if there is a single owner) or minutes of the general meeting of members (if there are multiple founders/members).

3) Articles of Association of the LLC. You may choose custom-drafted articles of association or use a standard template (approved by the Cabinet of Ministers).

4) Passports and tax identification numbers (RNOKPP) of all founders and the director.

However, to do this, you must be integrated into the “Diya” system and complete the identification process. Additionally, it is important to prepare the documents correctly, since registration actually occurs automatically and is carried out at the last moment.

• Offline (through a Public Service Center or a state registrar): the traditional method, suitable for companies with multiple founders or a complex custom charter.

• Through a notary-registrar: confidential and fast, but requires additional costs for notary services.

There is no state fee for the initial registration of an LLC. However, you should take into account the following associated costs:

• Notary services (certification of signatures on the minutes and articles of association) – from 1,500 to 3,500 UAH per signature.

• Fees for a private notary’s services (registration)—starting at 5,000 UAH.

• Seal production (optional, as a seal is not currently required)—600–1,500 UAH.

• Rental of a registered office (if you do not have your own premises)—from 4,000 UAH per year.

What to Do Immediately After Registration?

After submitting the documents and completing registration, you will receive an extract from the registry containing all your company’s key details (name, authorized capital, CEO, KVED code, registered address, and more). This is essentially your company’s ID!

Receiving the extract from the Unified State Register is only halfway there. Immediately afterward, you must:

1) Obtain an electronic digital signature (EDS) for the director and the company.

2) Open a bank account.

3) Submit a notification of the director’s employment to the State Tax Service (before the director begins performing their duties).

4) Register as a VAT or single tax payer (if this was not done when filing the registration application).

5) Complete other necessary steps (work permits for foreign nationals, obtaining licenses, permits, etc.).
